Token Sale Terms
These terms apply to every contribution made through the CRI participant portal. Read them together with the Risk Disclosures before contributing.

1. What you are participating in
A community token offering of CRI, a utility token intended for access, participation, learning experiences, and platform benefits within the Cryptora ecosystem. CRI does not represent equity, ownership, dividends, or revenue-sharing rights, and no profit is promised.
2. Accepted assets and network
Contributions are accepted in SOL, USDC, and USDT on Solana only, sent to the treasury address displayed in the portal for your specific quote. Sending any other asset, using any other network, or sending to any other address may result in permanent loss and creates no allocation.
3. Quotes and pricing
Each contribution begins with a time-limited quote that fixes the asset amount and the reference code for that payment. Stablecoins are valued at one U.S. dollar per unit. SOL is valued at the rate captured when the quote is issued. If a quote expires before payment, request a new quote.
4. Confirmation and crediting
A contribution is credited only after the transaction is finalised on-chain and verified against the expected asset, amount, destination treasury address, and sending wallet. Each transaction signature can be credited once. Underpayments, overpayments outside tolerance, or payments from an unverified wallet may be held for manual review.
5. Limits and eligibility
Minimum and maximum contribution amounts, phase allocations, and caps are shown in the portal and may be adjusted between phases. Participation may require identity or jurisdiction verification, and may be declined where verification fails or where participation is restricted.
6. Allocation, distribution, and vesting
A confirmed contribution records a token allocation for later distribution. Distribution timing, mint issuance, and the vesting schedule for each phase follow the published offering and distribution terms. No listing, market, liquidity, or distribution date is guaranteed.
7. Refunds
Contributions are final and non-refundable once confirmed on-chain, except where a refund is required by law or where we cancel a phase or the offering, in which case unallocated amounts are returned to the originating verified wallet, net of network fees.
8. Restricted jurisdictions and sanctions
You may not participate if you are located in, resident in, or acting on behalf of any person in a jurisdiction where the offering is restricted, or if you are subject to applicable sanctions. We may block, freeze, or reverse participation to comply with these requirements.
9. Taxes
You are solely responsible for determining and paying any taxes arising from your contribution, allocation, receipt, or later disposal of CRI.
10. Risk acknowledgement
By participating you confirm that you have read the Risk Disclosures, that you can bear the total loss of your contribution, and that you are not relying on any statement outside the published offering documents.
11. Amendments and precedence
These terms may be amended for future contributions. Where binding offering documents differ from this summary, those documents control.
